(PRESS RELEASE) MILAN, 1-Dec-2022 — /EuropaWire/ — UniCredit S.p.A (BIT: UCG), Italy’s only systemically important bank, has announced an update on the purchase of its own ordinary shares as part of the 2nd Tranche of the bank’s Buy-Back Programme 2021, which completed on 30 November 2022. The share buy-back programme was originally announced on 21 September 2022, and initiated the same date, in execution of the resolution of the shareholders’ meeting held on 8 April 2022, as updated and integrated pursuant to the shareholders’ resolution of 14 September 2022 (the “Second Tranche of the Buy-Back Programme 2021”).
With respect to the purchases made during the period from 28 to 30 November 2022, UniCredit – on the basis of the information received from BNP Paribas Exane as intermediary in charge of executing, in full independence (so-called “riskless principal” or “matched principal“), the Second Tranche of the Buy-Back Programme 2021 – informs, pursuant to art. 2, paragraph 3, of the Delegated Regulation (EU) 2016/1052, that it has carried out the daily purchases of UniCredit ordinary shares (ISIN IT0005239360) indicated, in aggregate details, in the chart below.

Under the Second Tranche of the Buy-Back Programme 2021, UniCredit purchased in aggregate no. 86,949,149 shares, equal to 4.30% of the share capital, for a total consideration of Euro 999,954,000.14.
In execution of the resolution passed by the shareholders’ meeting held on 8 April 2022, the Company expects to proceed as soon as possible, and in any case within the term established by the aforementioned resolution, with the cancellation of all the shares purchased in execution of the Second Tranche of the Buy-Back Programme 2021. The cancellation will be communicated to the market in accordance with applicable laws and regulations.
