EBRD supports Banca Transilvania’s resilience and compliance through €90m investment in inaugural international bond

(IN BRIEF) The European Bank for Reconstruction and Development (EBRD) has invested €90m and acted as an anchor investor in Banca Transilvania’s first international bond issuance, a €500m 4NC3 senior non-preferred bond issuance listed on the Euronext Dublin Stock Exchange. The investment will enhance BT’s resilience, compliance with minimum requirements for own funds and eligible liabilities, and support the green economy agenda by financing eligible green projects. As the largest bank in Romania, headquartered in Cluj-Napoca and listed on the Bucharest Stock Exchange, BT is a long-standing partner of the EBRD, which is currently the bank’s second-largest direct shareholder.

(PRESS RELEASE) LONDON, 24-Apr-2023 — /EuropaWire/ —  The European Bank for Reconstruction and Development (EBRD), a multilateral developmental investment bank, announces that it has invested €90 million and acted as an anchor investor in Banca Transilvania‘s (BT) first international bond issuance. The €500 million 4NC3 senior non-preferred bond issuance is the first bail-in-able Eurobond issuance under BT’s current Euro Medium-Term Note programme, and will be listed on the Euronext Dublin Stock Exchange.

The investment will enhance BT’s long-term resilience and compliance with minimum requirements for own funds and eligible liabilities (MREL). It will also facilitate local issuers’ access to international investors, thus boosting capital market development in Romania. The investment will also promote the country’s green economy agenda, with 150% of the EBRD’s participation being deployed towards financing green projects that comply with the bank’s Green Economy Transition eligibility criteria.

As the largest bank in Romania, headquartered in Cluj-Napoca and listed on the Bucharest Stock Exchange, BT is a long-standing partner of the EBRD, which is currently the bank’s second-largest direct shareholder. BT’s primary activities include corporate and retail banking.

The EBRD is a long-term investor in Romania, having invested over €10 billion in the country to date, with a current portfolio of €2.5 billion and 2022 investments of nearly €710 million. The EBRD is governed by more than 70 countries, including Romania and countries in the European Union.
