ROME, 3-6-2015 — /EuropaWire/ — Ferrovie dello Stato Italiane’s Board of Directors, has unanimously approved the reorganisation of the Grandi Stazioni.
The operation will be carried out with a non-proportional demerge of the GS’ business units and the equity will be conferred on two new set up companies.
Besides, the BoD required the experts’ report, pursuant ex art. 2501 sexies Italian Civil Code as recall ex art. 2506 ter, whose appointment shall be request by petition to the competent Court.
The BoD has invited the CEO, Michele Mario Elia, to set up any preparatory action for the reorganisation process, including the draft of the demerger Agreement and the related shareholders’ agreements as well as the tender invitation letter: all these documents will be submitted to the approval of FS Italiane’s BoD.
