HENSOLDT Adds Dutch Opto-Mechatronics Expertise Through Completed Acquisition of Nedinsco

(IN BRIEF) HENSOLDT has completed the acquisition of Nedinsco, a Dutch company headquartered in Venlo and known for its opto-mechatronic subsystems for armoured vehicles. The acquisition follows the receipt of all required regulatory approvals and strengthens HENSOLDT’s Optronics division by adding specialist capabilities in vehicle optronics, driver-vision systems, periscopes, sensor units, situational awareness and rapid prototyping for defence applications. Founded in 1921, Nedinsco works with major European land-platform manufacturers including Rheinmetall, KNDS and BAE Systems, and its technologies are used on platforms such as Boxer, Lynx, CV90, Puma, Leopard 2A8, Fennek and Luchs 2. The company will continue operating from Venlo, retain its local identity and lean structure, and use the brand addition “a HENSOLDT Company.” The deal brings around 140 employees into the HENSOLDT Group and supports the company’s wider strategy to expand its defence technology offering across Europe.

(PRESS RELEASE) TAUFKIRCHEN, 1-Jun-2026 — /EuropaWire/ — HENSOLDT has finalized the purchase of Nedinsco, bringing the Dutch opto-mechatronics specialist into the group following the completion of the necessary regulatory clearance process. Based in Venlo in the Netherlands, Nedinsco develops and produces advanced optical and mechatronic systems used in armoured vehicle programmes across Europe, including periscopes, driver-vision technologies and sensor units.

The transaction reinforces HENSOLDT’s Optronics division and broadens the company’s capabilities in land-platform vision systems, situational awareness and fast-turnaround defence technology development. By adding Nedinsco’s specialist know-how, HENSOLDT strengthens its ability to support European defence customers with integrated optronic solutions for modern armoured vehicle fleets.

Nedinsco has been operating for more than a century, having been founded in 1921, and has become an established supplier to leading European land-platform manufacturers. Its systems are used by major OEMs such as Rheinmetall, KNDS and BAE Systems, and are deployed on platforms including Boxer, Lynx, CV90, Puma, Leopard 2A8, Fennek and Luchs 2.

Oliver Dörre, CEO of HENSOLDT, welcomed the completion of the acquisition, highlighting Nedinsco’s long-standing reputation, skilled workforce and complementary technology base. He said the deal gives HENSOLDT access to a critical capability in European land-platform optronics while adding around 140 employees to the group. He also emphasized the opportunities the acquisition creates as both teams begin working together.

Nedinsco will remain at its Venlo location and will be incorporated into HENSOLDT’s Optronics division. HENSOLDT intends to preserve the company’s local identity and agile operating structure, while continuing the Nedinsco brand with the addition “a HENSOLDT Company.”

The acquisition’s impact on HENSOLDT’s net leverage is expected to be balanced by stronger cash conversion and more favourable lease liabilities at group level.

With Nedinsco now part of the group, HENSOLDT further expands its European defence technology footprint and enhances its portfolio of sensor and optronic systems for armoured land platforms.
