Holcim Proposes Jan Jenisch as New Chairman Following Beat Hess Retirement

(IN BRIEF) Holcim, a global building solutions company, has announced that its Chairman, Beat Hess, will not seek re-election to the Board of Directors at the AGM in May 2023. The Board of Directors plans to propose Jan Jenisch as the new Chairman at the AGM, subject to the vote. Jenisch will serve as both Chairman and CEO for a limited time to ensure a smooth transition and the continued execution of Holcim’s Strategy 2025. The Board is committed to sustaining Holcim’s momentum towards becoming the global leader in sustainable building solutions and implementing strong corporate governance measures, including the appointment of a Lead Independent Director and ensuring that all Board members, except the Chairman, are Independent Directors.

(PRESS RELEASE) ZUG, 24-Feb-2023 — /EuropaWire/ —  Holcim (SWX: HOLN), one of the world’s leading suppliers of cement and aggregates, concrete and related services, has announced that Beat Hess, the company’s Chairman since 2016, will not seek re-election to the Board of Directors at the AGM in May 2023. The Board of Directors will propose Jan Jenisch as the new Chairman at the AGM, subject to the vote. Jenisch will serve in a double mandate as Chairman and CEO of Holcim for a limited duration, to ensure a smooth transition and continued execution of Holcim’s Strategy 2025. The Board intends to appoint a new CEO within the next 12 months.

Beat Hess, who has been a member of the Holcim Board of Directors since 2010, said “It has been a true honor for me to serve on Holcim’s Board of Directors for the past 13 years. Holcim has set its sights on becoming the global leader in innovative and sustainable building solutions, with record results in 2022 and the expansion of Solutions & Products, which now represents 19% of its Net Sales, and growth in North America, which represents 35% of its Net Sales. To ensure strong corporate governance, the Board is implementing additional measures, including the creation of a Lead Independent Director role for Hanne Sørensen, Holcim’s Vice Chairperson. Sørensen will have a defined set of duties and responsibilities, including the authority to call meetings without the Chairman present, chair the Independent Director’s sessions of the Board of Directors, approve meeting agendas and information, and consult with major shareholders. Sørensen will continue to chair the Nomination, Compensation & Governance Committee, and the Chairman will not be a member of any of the committees. All Board members, with the exception of the Chairman, will be Independent Directors.
