ELKO Group Ends €3 Million Deal to Acquire Deltaco Baltic After Unforeseen Setbacks

(IN BRIEF) ELKO Group has withdrawn from its €3 million agreement to purchase Deltaco Baltic UAB from Aurdel Sweden AB, citing a material adverse change that emerged after the SPA was signed on 10 January 2025. A formal termination notice was issued on 17 July 2025, as both parties recognized that the conditions for closing could not be met. CEO Svens Dinsdorfs emphasized the company’s dedication to strong governance and risk management, and confirmed no material financial impact is expected from the deal’s reversal.

(PRESS RELEASE) RIGA, 18-Jul-2025 — /EuropaWire/ — Akciju sabiedrība ELKO Grupa (ELKO Group), a premier distributor of IT and consumer electronics across Central and Eastern Europe, has officially terminated its Share Purchase Agreement (SPA) with Aurdel Sweden AB for the acquisition of Deltaco Baltic UAB, Aurdel’s Lithuanian subsidiary. Originally announced on 10 January 2025 and valued at €3 million, the deal was set to extend ELKO’s reach into the domestic appliances market. However, following the SPA signing, unforeseen developments triggered a material adverse change clause, rendering completion unfeasible. Consequently, on 17 July 2025 both parties agreed to issue a formal termination notice, acknowledging that closing the transaction was no longer possible.

Svens Dinsdorfs, ELKO Group’s Chief Executive Officer, commented, “Our strategic ambitions remain strong, but we must balance growth with rigorous governance and risk oversight. We value the professional collaboration with the teams at Aurdel Sweden and Deltaco Baltic, and this outcome demonstrates our shared commitment to transparency and responsibility.”

ELKO Group does not anticipate any significant financial repercussions from reversing this transaction.
