Deutsche Bank to Acquire Numis Corporation in All-Cash Offer

(IN BRIEF) Deutsche Bank has agreed on the terms of an all-cash offer to acquire Numis Corporation Plc, a UK-based corporate broking and advisory house. The acquisition will allow Deutsche Bank to become a leading provider to more than 170 corporate clients, accelerating its Global Hausbank strategy. Numis shareholders will receive 350 pence per share, valuing Numis at £410 million. The acquisition is expected to be completed in Q4 2023, subject to approval by Numis shareholders and receipt of regulatory approvals.

(PRESS RELEASE) FRANKFURT, 28-Apr-2023 — /EuropaWire/ — Deutsche Bank (XETRA: DBKGn.DB / NYSE: DB), Germany’s leading multinational investment bank and financial services company, announced today that it has agreed on terms for an all-cash offer to acquire Numis Corporation Plc. Numis is a UK-based corporate broking and advisory house that provides strategic advice and capital market connectivity to 166 retained corporate broking clients, including 64 clients in the FTSE 350.

The acquisition will enable Deutsche Bank to accelerate its Global Hausbank strategy by increasing its engagement with the corporate client segment in the UK. This will allow the bank to become a prominent provider to more than 170 corporate clients for their comprehensive financial and advisory needs.

The Management Board of Deutsche Bank and the Board of Numis consider the acquisition to be an exciting strategic opportunity that will establish a leading force in UK investment banking, with a notable position across corporate broking, strategic advisory (including M&A and growth capital), equity and debt capital markets, and equity research, sales, and execution. The acquisition will also enable Deutsche Bank to leverage its comprehensive and global product offering across the Corporate Bank and the International Private Bank.

Numis shareholders will receive 350 pence per share, valuing Numis at approximately £410 million. Deutsche Bank has received an irrevocable undertaking from Numis’ largest shareholder to vote in favor of the acquisition. The transaction is expected to be EPS accretive from 2024, with an attractive return on regulatory capital consumed. The CET1 ratio impact at closing is expected to be approximately (9) basis points.

The acquisition is expected to be completed in Q4 2023, subject to approval by Numis shareholders and receipt of regulatory approvals.
