Oteis acquires GreenFlex from TotalEnergies to create a leading sustainability and engineering consultancy

(IN BRIEF) TotalEnergies has agreed to sell its sustainability-focused subsidiary GreenFlex to the French consulting and engineering group Oteis, aligning with its strategy to concentrate on energy production and supply. Oteis, which employs over 800 people and operates across 30 agencies in Europe, will integrate GreenFlex’s expertise in sustainability consulting, low-carbon energy performance, and transition financing to create a leading player in environmental and industrial services. Following the acquisition, TotalEnergies will remain a major GreenFlex customer through a contract for producing French Energy Saving Certificates. The deal provides GreenFlex with new growth opportunities while reinforcing Oteis’s position in sustainable engineering, subject to employee consultations and regulatory approvals.

(PRESS RELEASE) PARIS, 21-Oct-2025 — /EuropaWire/ — TotalEnergies has announced the sale of its sustainable consultancy and solutions subsidiary GreenFlex to the independent French consulting and engineering group Oteis, marking a new phase in the company’s strategy to concentrate its core operations on energy production and supply. The agreement underscores TotalEnergies’ focus on strengthening its position as an integrated multi-energy company while enabling GreenFlex to continue its growth under a partner specializing in engineering and environmental performance.

Oteis Conseil & Ingénierie, which employs over 800 people and operates through more than 30 offices across France and Europe, is active in the fields of construction, water and development, infrastructure, and industry. In recent years, Oteis has achieved steady growth by successfully integrating new teams and expertise following similar acquisitions. The addition of GreenFlex is expected to enhance its capabilities in sustainability consulting, decarbonization, and energy transition services.

Through this acquisition, Oteis aims to leverage GreenFlex’s recognized expertise in environmental and social consultancy, low-carbon performance, and transition financing to create a major new player offering a full spectrum of sustainability and engineering solutions. The move positions Oteis to deliver integrated services that meet the growing demand for climate-conscious development and corporate responsibility initiatives across France and Europe.

For the GreenFlex team, the transition presents a valuable opportunity to enter new markets while maintaining its mission to help companies and communities reduce their environmental impact, improve energy efficiency, and advance toward decarbonization.

As part of the transaction, TotalEnergies will remain one of GreenFlex’s key customers, signing an agreement for the production of French Energy Saving Certificates (Certificats d’Économies d’Énergie – CEEs). This continued collaboration reflects both companies’ shared commitment to advancing energy efficiency and sustainable practices.

The completion of the sale is subject to standard conditions, including the consultation of employee representatives and clearance from competition authorities.
