Dürr AG Sells Environmental Technology Arm to Stellex, Boosts Automation Focus

(IN BRIEF) Dürr AG has agreed to sell its environmental technology business, Clean Technology Systems Environmental, to a Stellex Capital affiliate for an enterprise value of about €385 million, with net proceeds of roughly €250 million earmarked for debt reduction and a 25% reinvestment stake retained. This divestment finalizes the company’s strategy to simplify its structure—from five divisions to three—and refocus on automating production technologies. The environmental unit generated €407 million in 2024 revenues, operates 16 sites in 12 countries, and employs 1,300 people. Stellex sees growth potential in its new pollution-control portfolio, while Dürr strengthens its core business and balance sheet.

(PRESS RELEASE) BIETIGHEIM-BISSINGEN, 30-Jun-2025 — /EuropaWire/ — Dürr AG has struck a definitive agreement to divest its Clean Technology Systems Environmental division—which encompasses exhaust air purification and sound insulation systems—to an affiliate of Stellex Capital Management LLC. This transaction, valued at an enterprise level of approximately €385 million, marks the culmination of Dürr’s ongoing Group-wide simplification initiated last year, and underscores its renewed dedication to automating production processes. Following customary closing approvals expected in Q4 2025, Dürr will reinvest roughly 25% into the sold environmental technology business, while net proceeds of around €250 million (after reinvestment and transaction costs) will be deployed to reduce corporate debt.

Having assessed strategic alternatives for this division since mid-2024—including a potential sale—Dürr is now streamlining its organizational footprint to three core divisions, down from five. The spin-off follows last year’s sale of Danish filling-technology specialist Agramkow and the recent consolidation of automotive engineering into a dedicated division. Dürr’s leadership believes that Stellex, with its robust capital base, can better fuel the environmental technology unit’s next growth phase.

In 2024, the seized division posted €407 million in revenues and employed approximately 1,300 staff—450 of whom are based in Germany—across 16 facilities in 12 countries. Its solutions serve diverse sectors, including chemical processing, odor control, and automotive manufacturing.
