(NEWS) BUCHAREST, Romania, 19-Sep-2025 — /EuropaWire/ — Digi Communications N.V., a European leader in geographically-focused telecommunication solutions, has announced via a press release on EuropaWire a major step in strengthening its Romanian operations, with its subsidiary DIGI Romania (formerly RCS & RDS S.A.) signing a €40 million business and asset transfer agreement involving Vodafone Romania, Hellenic Telecommunications Organization (OTE), and Telekom Romania Mobile Communications (TKRM).

The deal sets out that DIGI will acquire spectrum licences, telecommunications towers, and TKRM’s prepaid mobile business, while Vodafone Romania will take over OTE’s shares in TKRM, reinforcing its stake in the Romanian telecom market. The transaction is expected to close in early October 2025, pending final regulatory clearance.

This agreement marks the culmination of a process that began more than a year earlier. On May 27, 2024, Digi Romania signed a preliminary agreement with OTE to acquire nearly all shares in Telekom Romania Mobile through its investment vehicle West Network Invest S.R.L., alongside Clever Media group. That plan envisioned TKRM continuing to operate independently in the market, subject to due diligence and regulatory approval.

By October 31, 2024, the parties had advanced to a memorandum of understanding between DIGI Romania, OTE, and Vodafone Romania. The MoU outlined that DIGI would acquire specific TKRM assets, while Vodafone would indirectly acquire OTE’s shares in the mobile operator, laying the groundwork for the current deal.

On July 28, 2025, Digi Communications confirmed that Romania’s Competition Council had conditionally approved the acquisition, requiring DIGI to integrate the newly acquired spectrum and prepaid services, enhance internet speeds along major highways, and update its MVNO offering. Vodafone also accepted obligations as part of the approval. Earlier, the Commission for Review of Foreign Direct Investments (CEISD) had already granted clearance, while the company awaited ANCOM’s final approval and settlement of remaining terms.

With those conditions addressed, Digi’s announcement of the €40 million transaction now formalizes the commitments made in the MoU. The agreement is expected to reshape Romania’s telecom landscape by redistributing key assets and services among three of its leading players. With demand for mobile connectivity and 5G expansion rising, spectrum and tower infrastructure are regarded as critical assets for growth.
