(PRESS RELEASE) PARIS, 18-May-2023 — /EuropaWire/ — The Atos Board of Directors, following the recommendation of the Nomination and Governance Committee led by Elizabeth Tinkham, has approved several changes to its composition. These changes align with identified needs and the pursued strategy, particularly in corporate governance, digital transformation for companies—especially in the financial sector—and digital strategies in security and defense.

Renewal of Caroline Ruellan’s Mandate

Caroline Ruellan, who has been serving as an independent director at Atos since July 26, 2022, will have her cooptation ratified and her directorship renewed at the upcoming Annual General Meeting scheduled for June 28, 2023.

Appointment of Two New Independent Directors

During its meeting on May 16, 2023, the Board of Directors coopted Jean-Pierre Mustier as a new independent director. The ratification of his cooptation will be presented for approval by the shareholders at the Annual General Meeting.

Additionally, the Board of Directors has decided to submit the appointment of Laurent Collet-Billon as a new independent director for approval by the shareholders at the Annual General Meeting.

Jean-Pierre Mustier brings extensive business leadership and investment banking experience to the Board of Directors. With his financial expertise and deep understanding of the digital sector, particularly within the financial industry, he successfully spearheaded the transformation of UniCredit, a major European bank. Having also gained a comprehensive perspective of the fintech market during his tenure at the Pegasus fund, he possesses valuable insights into the current consolidation trends in asset management, banking, and finance sectors, driven by the acquisition of digital technologies and platforms.

Laurent Collet-Billon, a highly accomplished French military servant, achieved the highest-ranking military status as an Ingénieur général de l’armement de classe exceptionnelle. Formerly the Delegate General for Armaments and head of the French Defense Ministry’s Direction Générale de l’Armement (DGA), he brings unparalleled expertise to the Board. With his profound knowledge and experience in digital, defense, and cybersecurity sectors, he will provide invaluable vision and insights, particularly in the context of the future French law on military programming and the strategic plan to separate Eviden from Atos Tech Foundations.

Farewell and Appreciation

Lynn Paine, an independent director and member of the Nomination and Governance Committee since May 2013, has tendered her resignation to the Board of Directors, effective May 16, 2023, citing personal reasons. Edouard Philippe, former French Prime Minister and member of the Board, has also decided not to seek renewal due to multiple commitments. The Board of Directors acknowledges their contributions and expresses gratitude for their dedicated involvement and collaborative work during their tenures.

About Jean-Pierre Mustier

Jean-Pierre Mustier, a French citizen, possesses over 37 years of experience in the banking sector. Throughout his career, he held various positions in Europe, the United States, and Asia. Notably, he served as the CEO of the European banking group UniCredit from 2016 to 2021, successfully leading its transformation and turnaround. Previously, he headed UniCredit’s corporate and investment bank from 2011 to 2015. Mr. Mustier has served on the boards of numerous financial institutions, banks, traditional and alternative investment management companies, and clearing houses. Laurent Collet-Billon, a French citizen, is a distinguished French military servant who achieved the highest-ranking military status as an Ingénieur général de l’armement de classe exceptionnelle. He served as the former Delegate General for Armaments and head of the French Defense Ministry’s Direction Générale de l’Armement (DGA) from 2008 to 2017. In this capacity, he was responsible for the equipment of the French armed forces, defense research and development, international cooperation and defense exports, and defense industrial policy. Mr. Collet-Billon began his career at the DGA in 1974 and held various positions before becoming technical advisor to the Minister of Defense. He played a pivotal role in structuring the IT program requirements for the interoperability of the armed forces during his tenure at the DGA’s Telecommunications and Information Observation Programs Department. Mr. Collet-Billon is a graduate engineer from the Ecole Nationale Supérieure de l’Aéronautique et de l’Espace.
