Airbus to Acquire Key Production Assets from Spirit AeroSystems to Strengthen Commercial Aircraft Programmes

(IN BRIEF) Airbus has finalized an agreement with Spirit AeroSystems to acquire key production assets critical to its commercial aircraft programmes. This includes the acquisition of multiple facilities across the U.S., France, Morocco, Northern Ireland, and Scotland. The deal, valued at $439 million, will ensure stability in Airbus’ supply chain and is set to close in the third quarter of 2025. In addition to the acquisition, Airbus will extend $200 million in credit to Spirit AeroSystems to support its ongoing programmes.

(PRESS RELEASE) AMSTERDAM, 28-Apr-2025 — /EuropaWire/ — Airbus SE (stock exchange symbol: AIR) has finalized a definitive agreement with Spirit AeroSystems for the acquisition of critical industrial assets linked to its commercial aircraft programmes. This acquisition will bolster Airbus’ production capabilities and enhance its ability to meet increasing demand for key aircraft components.

Under the terms of the agreement, Airbus will take ownership of several Spirit AeroSystems facilities, including:

  • The Kinston, North Carolina site in the U.S., responsible for A350 fuselage sections
  • The St. Nazaire site in France, which produces A350 fuselage sections
  • The Casablanca facility in Morocco, producing A321 and A220 components
  • The Wichita, Kansas site in the U.S., which manufactures A220 pylons
  • The Belfast, Northern Ireland site, responsible for A220 wing production
  • The Belfast facility in Northern Ireland, which produces the A220 mid-fuselage, unless Spirit AeroSystems identifies a suitable buyer for this part of the site

In addition, Airbus will acquire the production of A320 and A350 wing components at the Prestwick site in Scotland.

Spirit AeroSystems has also confirmed its intention to sell the Subang, Malaysia facility to a third-party buyer.

The agreed-upon compensation has been adjusted to reflect this revised transaction scope, in line with the binding term sheet agreement announced on 1 July 2024. Airbus will receive $439 million from Spirit AeroSystems, with certain adjustments to be made upon closing.

This agreement aligns with Airbus’ financial projections for 2025, including EBIT Adjusted and Free Cash Flow before Customer Financing estimates provided in the company’s guidance issued on 20 February 2025.

The acquisition aims to ensure continued stability in the supply of components for Airbus’ commercial aircraft programmes, providing a more sustainable operational and financial model for key Airbus work packages. The transaction is expected to close in the third quarter of 2025, pending regulatory and customary approvals.

As part of the agreement, Airbus has also entered into a memorandum of understanding with Spirit AeroSystems to extend non-interest bearing credit lines totalling $200 million, supporting Airbus programmes and further solidifying the partnership between the two companies.
