Fiat: Gian Maria Gros Pietro to resign as member of the Company’s Board of Directors; Glenn Earle appointed member of Board of directors

Turin, 16-6-2014 — /EuropaWire/ — Effective June 23, Gian Maria Gros Pietro, Chairman of the Management Board of Intesa Sanpaolo S.p.A., will resign as a member of the Company’s Board of Directors on the grounds of the upcoming entry into force of the EU Capital Requirements Directive IV, which limits the number of directorships that members of management bodies of financial institutions are allowed to hold.

The Board of Directors of Fiat wishes to thank Gian Maria Gros Pietro for his valuable commitment to the Company’s success. Gian Maria Gros Pietro is a non executive, independent director pursuant to the Consolidated Finance Act, chairs the Internal Control and Risk Committee and is a member of the Compensation Committee.

Today the Board of Directors also coopted Glenn Earle and appointed him (effective June 23) director of the Company. Glenn Earle, who meets the independence requirements prescribed by the Consolidated Financial Act, will also become chairman of the Internal Control and Risk Committee and member of the Compensation Committee.

Mr. Earle is a retired Partner of Goldman Sachs and former Chief Operating Officer of Goldman Sachs International. He is currently Senior Advisor at Affiliated Managers Group Limited (AMG) and a member of the Boards of Directors of the Royal National Theatre and Teach First.

On the basis of the information available to the Company, Gian Maria Gros Pietro holds 3,300 Company’s shares, while Glenn Earle does not currently hold any.
