Eni Completes First Phase of Treasury Share Buyback Program with Acquisition of 4.2 Million Shares

(IN BRIEF) Eni, an energy company, has acquired 4,233,249 shares on the Euronext Milan from August 21 to August 24, 2023, as part of its treasury share buyback program. The shares were purchased at a weighted average price of €14.1299 per share, totaling €59,815,319.79. This acquisition marks the completion of the first phase of Eni’s 2023 buyback plan, with further purchases planned to finalize the program. Eni has purchased a total of 62,000,000 treasury shares (1.84% of share capital) since the program’s start, and after considering previously held shares and cancellations, the company now holds 92,547,750 shares (2.74% of share capital).

(PRESS RELEASE) MILAN, 31-Aug-2023 — /EuropaWire/ — During the period from August 21 to August 24, 2023, Eni acquired on the Euronext Milan no. 4,233,249 shares, at a weighted average price per share equal to 14.1299 euro, for a total consideration of 59,815,319.79 euro within the authorization to purchase treasury shares approved by the Shareholders’ Meeting on 10 May 2023, previously subject to disclosure pursuant to art. 144-bis of Consob Regulation 11971/1999.

On the basis of the information provided by the intermediary appointed to make the purchases, here below a synthesis of transactions for the purchase of treasury shares on the Euronext Milan on a daily basis:

With purchases indicated above the first tranche of the Company’s treasury share buyback program for 2023, launched on 12 May 2023, has been terminated. A further purchases phase will then be launched to complete the overall buyback plan.

Since the start of the programme, Eni purchased n. 62,000,000 treasury shares (equal to 1.84% of the share capital) for an aggregate amount of 825,001,300 euro. Considering the treasury shares already held and the cancellation of 195,550,084 treasury shares resolved by the Shareholders’ Meeting on 10 May 2023, Eni holds n. 92,547,750 shares equal to 2.74% of the share capital.
