Fortum Completes PLN 120 Million Acquisition of Orange Energia to Expand Polish Retail Footprint

(IN BRIEF) Fortum has completed its acquisition of Orange Energia Sp. z o.o. in Poland for up to PLN 120 million (EUR 28 million), paying about PLN 90 million in cash at closing and deferring the remainder to early 2029 based on sales targets. Fortum will continue marketing electricity and digital services through Orange Polska’s retail outlets until at least the end of 2028. Orange Energia’s financials will be reported within Fortum’s Consumer Solutions Comparable Operating Profit in Q3 2025. The purchase strengthens Fortum’s goals of providing reliable, clean energy, accelerating decarbonisation for customers, and driving transformation. Orange Energia, one of Poland’s largest independent electricity retailers, brings a customer base of circa 130,000 contracts.

(PRESS RELEASE) ESPOO, 1-Jul-2025 — /EuropaWire/ — Fortum has finalized its purchase of the Polish electricity provider Orange Energia Sp. z o.o., on a cash- and debt-free basis for up to PLN 120 million (approximately EUR 28 million). At closing, Fortum disbursed roughly PLN 90 million (EUR 21 million) in cash, with the balance payable by early 2029 contingent on meeting agreed electricity sales volume milestones. Under the deal, Fortum will maintain electricity and digital service sales via Orange Polska’s nationwide retail network through at least the end of 2028. This acquisition follows the announcement made on 24 April.

Orange Energia will be consolidated into Fortum’s Consumer Solutions segment, with its Comparable Operating Profit reflected in Q3 2025.
