Generali Appoints New Board Committees and Reviews Mediobanca’s Exchange Offer on Banca Generali Shares

(IN BRIEF) Generali’s Board of Directors has established the Board Committees, appointed their members, and reviewed the public voluntary exchange offer from Mediobanca regarding Banca Generali’s shares. Additionally, the Board has appointed the new administrative body for The Generali Human Safety Net Foundation.

(PRESS RELEASE) MILAN, 8-May-2025 — /EuropaWire/ — The Board of Directors of Generali, during today’s meeting chaired by Andrea Sironi, has resolved to establish the company’s Board Committees, following a favorable opinion from the Nomination and Corporate Governance Committee.

The members of the newly appointed committees are as follows:

• Risk & Control Committee

• Remuneration and Human Resources Committee
  Chair: Clara Furse

• Innovation, Social and Environmental Sustainability Committee

  Members: Flavio Cattaneo, Patricia Estany Puig, and Antonella Mei-Pochtler
• Investment Committee

Public Voluntary Exchange Offer on Banca Generali Shares

The Board has also addressed the public voluntary exchange offer launched by Mediobanca on the ordinary shares of Banca Generali. The Board took note of the details and conditions of the offer and has set up a process and work schedule to thoroughly assess the terms and implications of the offer. The Board is committed to ensuring that any decisions taken will be in the best interest of the Company and will comply with the principle of providing the market with timely and transparent information.

Generali Human Safety Net Foundation – New Administrative Body Appointed

The Board has appointed the new administrative body for The Generali Human Safety Net Foundation – Ente Filantropico. Gabriele Galateri di Genola has been identified as the Chair, and the following members have been appointed: Simone Bemporad, Cristiano Borean, Monica Alessandra Possa, Lucia Silva, Andrea Sironi, and Giulio Terzariol.
