(PRESS RELEASE) PARIS, 20-Mar-2026 — /EuropaWire/ — Colas has entered into a memorandum of understanding dated 19 March 2026 to acquire the road construction and recycling operations of the Frauenrath Group, a long-established, family-owned company with roots in Germany dating back to the late 19th century. The planned transaction represents a significant step in Colas’ strategy to expand its footprint in Germany, Europe’s largest construction market.

The activities being acquired cover road construction, urban development, and circular economy services. The Frauenrath Group employs approximately 420 people across its sites in Heinsberg in North Rhine-Westphalia and Großröhrsdorf in Saxony, generating annual revenues of around €150 million based on 2025 figures.

Through this acquisition, Colas will strengthen its presence in two key German federal states, positioning itself to benefit from continued growth in infrastructure investment. The German market remains particularly active, supported by substantial public funding programmes aimed at modernising infrastructure and supporting economic development.

The transaction aligns with Colas’ broader development strategy, which focuses on expanding into high-potential markets, reinforcing core business activities, and enhancing its international network. The Frauenrath Group’s established market position, operational expertise, and experienced workforce are expected to contribute to the long-term growth of Colas’ activities in Europe.

For the Frauenrath Group, the agreement provides access to a larger international platform, enabling further development through additional resources, expanded capabilities, and broader market reach. The transaction remains subject to customary closing conditions, including approval from relevant competition authorities, and is expected to be finalised by the end of the first half of 2026.

This planned acquisition follows Colas Rail’s earlier expansion in Germany with the purchase of the Hasselmann Group in 2022, further reinforcing the company’s position in the country’s infrastructure sector and supporting its ambition to establish a strong and sustainable presence in one of the world’s largest economies.
