Capgemini moves closer to $3.3 billion WNS acquisition following shareholder approval

(IN BRIEF) Capgemini confirmed that WNS shareholders approved its proposed $3.3 billion acquisition during meetings held on August 29, 2025. The deal, first announced in July, values WNS shares at 76.50 USD each and will enable Capgemini to build a leading global platform in Agentic AI-powered Intelligent Operations. With shareholder approval secured, the transaction is now awaiting regulatory clearance and is expected to close by year-end. (PRESS RELEASE) PARIS, 2-Sep-2025 — /EuropaWire/ — Capgemini (Euronext Paris: CAP) has announced that the shareholders of WNS (NYSE: WNS) have approved the company’s acquisition by Capgemini. The approval was granted during WNS shareholder meetings held on August 29, 2025, marking an important milestone in the transaction.

The acquisition was originally unveiled on July 7, 2025, when Capgemini and WNS signed a definitive agreement outlining Capgemini’s plan to purchase WNS for 76.50 USD per share in cash. The deal values the transaction at approximately $3.3 billion, excluding WNS’s net financial debt, which was negligible as of March 31, 2025. Through this acquisition, Capgemini aims to establish itself as a global leader in Agentic AI-powered Intelligent Operations, expanding its capabilities in digital transformation and next-generation business services.

Following shareholder approval, the deal is now pending the receipt of customary regulatory clearances and the fulfillment of other standard conditions. Capgemini anticipates finalizing the transaction before the end of 2025.
