(NEWS) BUCHAREST, Romania, 2-Oct-2025 — /EuropaWire/ — Digi Communications N.V., a European leader in geographically-focused telecommunication solutions, has completed the acquisition of Telekom Romania Mobile Communications’ (TKRM) prepaid mobile business along with spectrum licences and telecommunications towers, the company announced on October 1, 2025 (EuropaWire, Oct 2025). The transaction integrates TKRM’s prepaid customers into DIGI Romania’s network, which the company describes as having the country’s best coverage, while Vodafone Romania acquired the remaining TKRM operations in a concomitant deal.

The acquisition represents the culmination of a multi-stage process stretching back several years. Just weeks earlier, on 19 September 2025, DIGI confirmed it had signed a €40 million agreement with OTE, Vodafone Romania, and TKRM to acquire prepaid services, spectrum, and towers, with Vodafone simultaneously acquiring OTE’s shares in TKRM (EuropaWire, Sep 2025).

That signing followed regulatory approval in July 2025, when Romania’s Competition Council conditionally cleared the deal, requiring DIGI to integrate the new spectrum and prepaid services, enhance internet speeds on national highways, and update its MVNO offering. Vodafone was also assigned obligations under the decision. These approvals came in addition to earlier clearance from the Commission for the Review of Foreign Direct Investments (CEISD) and pending oversight from ANCOM (EuropaWire, Jul 2025).

The groundwork for this transaction was laid as early as 31 October 2024, when DIGI Romania entered into a memorandum of understanding (MoU) with OTE and Vodafone Romania outlining plans for DIGI to acquire TKRM assets while Vodafone would acquire OTE’s shares (EuropaWire, Oct 2024). That followed an earlier preliminary agreement signed on 27 May 2024, in which DIGI Romania sought to acquire nearly all of TKRM through West Network Invest S.R.L., a joint investment vehicle involving DIGI and Clever Media Group (EuropaWire, May 2024).

These moves are part of a broader restructuring of Romania’s telecommunications market, which has seen significant divestments in recent years. Notably, in November 2020, OTE sold its 54% stake in Telekom Romania Communications (the fixed-line unit) to Orange Romania for €497 million, marking the beginning of its gradual exit from the Romanian telecom sector (EuropaWire, Nov 2020).
