PPF Group Advances Shareholder-Driven Move to Czech Tax Residency and Corporate Headquarters

The move reflects recent changes in shareholder and governance structures, as all PPF shareholders reside in the Czech Republic and actively guide its strategic direction. Majority shareholder Renáta Kellnerová emphasized that the relocation signals long-term confidence in the Czech legal environment, which now offers investment protection comparable to Dutch standards. The transition follows an earlier step in 2021, when PPF Financial Holdings moved its registered office to the Czech Republic. Upon completion, PPF Group will become a Czech tax resident. AMALAR also announced the conclusion of its advisory board’s work after successfully supporting PPF’s transformation.

(PRESS RELEASE) PRAGUE, 11-Dec-2025 — /EuropaWire/ — AMALAR HOLDING, the Kellner family’s asset-management umbrella, announced that PPF Group N.V.—the principal holding company of the international investment group PPF—has formally begun the process of relocating its registered office from the Netherlands to the Czech Republic. PPF, which operates across 25 countries and a broad mix of industries, expects the redomiciliation to be finalized during the first half of 2026.

The planned migration follows recent adjustments to PPF’s shareholder composition and governance framework. Once the transition is complete, PPF Group will become a Czech tax resident.

“Over almost 35 years, PPF has evolved into the largest international investment group with Czech roots. Moving the registered office of PPF Group back to the Czech Republic reflects our confidence—as shareholders—in the country we call home and in the stability of its legal system. With investment-protection standards in the Czech Republic now comparable to those in the Netherlands, the relocation is a logical next step,” stated Renáta Kellnerová, majority shareholder of PPF Group.

According to AMALAR, the shift aligns with the Group’s current shareholder reality: all owners live in the Czech Republic, where they actively engage in shaping long-term strategy, supported by a management team that is primarily based in the country.

The migration also builds on an earlier structural change initiated in 2021, when PPF Financial Holdings—covering PPF’s banking and broader financial assets across the Czech Republic, Slovakia, the United Kingdom, Serbia, Kazakhstan, and Vietnam—moved its registered office from the Netherlands to the Czech Republic.

In connection with these developments, AMALAR confirmed it is dissolving its advisory board, noting that the board has fulfilled its mission during the transformation phase of PPF Group.
