AF Gruppen Acquires 70 Percent of H.A. Bygg to Enhance Infrastructure and Treatment Facility Capabilities in Sweden

(IN BRIEF) AF Gruppen, through AF Bygg Syd AB, has agreed to acquire a 70 percent stake in H.A. Bygg Entreprenad AB, a leading concrete contractor in western Sweden. H.A. Bygg, founded in 1986, employs 62 people and recorded an average turnover of SEK 360 million between 2022 and 2024, with a 10 percent operating margin. The company will continue as a separate entity within AF Gruppen’s Sweden business area. The transaction, valued at up to MSEK 140 on a debt-free basis, includes a performance-based component linked to profitability targets through 2028. The acquisition strengthens AF Gruppen’s concrete expertise and supports its position in water and wastewater treatment construction in Sweden.

(PRESS RELEASE) OSLO, 13-Feb-2026 — /EuropaWire/ — AF Gruppen is strengthening its concrete operations in Sweden through its subsidiary AF Bygg Syd AB, which has signed an agreement to acquire 70 percent of the shares in H.A. Bygg Entreprenad AB. The remaining 30 percent will continue to be owned by the company’s employees.

Founded in 1986, H.A. Bygg is a well-established concrete contractor in western Sweden. The company employs 62 people and generated an average turnover of approximately SEK 360 million between 2022 and 2024, achieving an operating margin of around 10 percent during the period.

Bård Frydenlund, EVP at AF Gruppen, described the acquisition as a strong strategic fit, noting the company’s consistent performance and cultural alignment with AF’s values. He highlighted that the transaction enhances AF’s existing concrete expertise and supports the group’s ambitions within water and wastewater treatment infrastructure projects in the Swedish market.

Following completion, H.A. Bygg will continue to operate as an independent entity and become part of AF Bygg Syd AB within AF Gruppen’s Sweden business area.

Kai Simfors, Managing Director of H.A. Bygg, stated that closer cooperation with AF Bygg Syd aligns with the company’s value-driven approach to project delivery, emphasising shared priorities in safety, ethics and value creation.

The agreed enterprise value for 100 percent of the shares is up to MSEK 140 on a debt-free basis. A portion of the purchase price is performance-based and contingent upon profitability targets for the period 2026–2028, with potential payment in 2029 if those targets are achieved. The consideration payable at completion will be settled in cash.

The transaction remains subject to approval by the Swedish Competition Authority and other relevant authorities and is expected to close in April 2026.
