ABB to Spin Off Robotics Division as Standalone Company by 2026

(IN BRIEF) ABB has announced its intention to spin off its Robotics division as an independent company, with a targeted listing in Q2 2026. The spin-off will be executed via a dividend in-kind, allowing shareholders to receive shares in the new company, tentatively called “ABB Robotics.” The decision aims to enhance strategic focus and value creation for both ABB and the newly listed entity. ABB Robotics, which generated $2.3 billion in revenue in 2024 and maintains a 12.1% operational EBITA margin, delivers intelligent automation solutions across industries. With more than 80% of its offerings AI or software-enabled, and manufacturing hubs in Europe, Asia, and the Americas, the division is positioned for growth. ABB’s Machine Automation unit will be integrated into its Process Automation segment from Q1 2026, enhancing technological synergies. (PRESS RELEASE) ZURICH, 17-Apr-2025 — /EuropaWire/ — ABB has announced plans to spin off its Robotics division, positioning it as a standalone company set to be publicly listed in the second quarter of 2026. The spin-off is intended to be executed through a dividend in-kind to ABB shareholders, giving them direct ownership in the newly formed entity, tentatively named “ABB Robotics.”

This strategic move reflects ABB’s focus on long-term value creation and sharpening its core operations in electrification and automation. By separating the Robotics business, ABB believes both companies can benefit from clearer strategic direction, more focused capital allocation, and increased agility in their respective markets.

Operating independently, ABB Robotics will continue to leverage its leading-edge portfolio—including autonomous mobile robots, AI, and advanced software platforms—to serve customers dealing with labor shortages, sustainability goals, and the need for adaptable, high-performing automation. Over 80% of the division’s offering is software or AI-enabled, underlining its alignment with digital transformation trends.

With approximately 7,000 employees and $2.3 billion in 2024 revenues—representing around 7% of ABB Group revenues—the Robotics division delivered a solid Operational EBITA margin of 12.1%. The separation will also enable ABB to further integrate its Machine Automation division into the Process Automation business area starting Q1 2026, benefiting from complementary technologies in hybrid and discrete industries.

The planned spin-off remains subject to shareholder approval at ABB’s Annual General Meeting in 2026.
