Uniper Transfers OPAL Infrastructure Stake to Hydrogen Investor Hy24 as Pipeline Supports Germany’s Hydrogen Network

(IN BRIEF) Uniper has agreed to sell its 20% interest in the OPAL gas pipeline to hydrogen-focused investment manager Hy24 through its Clean Hydrogen Infrastructure Fund. The transaction will be completed through the sale of 100% of Lubmin-Brandov Assets GmbH & Co. KG, which holds the 20% co-ownership interest in OPAL, while the remaining 80% is owned by GASCADE Gastransport GmbH. The divestment is part of the structural remedies Uniper must complete under EU state aid law following the European Commission’s approval of the company’s stabilization package on 20 December 2022. Uniper said the sale also supports the ongoing alignment of its portfolio with its strategic core businesses. OPAL is a major European transmission corridor extending approximately 470 kilometres between Lubmin in Germany and Brandov in the Czech Republic. Its northern section was converted in mid-December 2025 as part of Germany’s hydrogen core network, with the southern section expected to follow by the end of 2030. Completion remains subject to regulatory approvals and the non-exercise of a pre-emption right by the fractional co-owner.

(PRESS RELEASE) DÜSSELDORF, 14-Sep-2026 — /EuropaWire/ — Uniper has signed an agreement to sell its 20% interest in the OPAL gas pipeline to Hy24, a specialist investor focused on hydrogen infrastructure, technologies and industrial projects supporting the development of a climate-neutral hydrogen economy.

Hy24 will acquire the interest through its Clean Hydrogen Infrastructure Fund. The transaction involves the sale of 100% of Lubmin-Brandov Assets GmbH & Co. KG, the entity that holds Uniper’s 20% co-ownership interest in OPAL.

The remaining 80% interest in OPAL is held by GASCADE Gastransport GmbH.

The divestment forms part of the structural remedies Uniper is required to implement under European Union state aid law. On 20 December 2022, the European Commission approved Uniper’s stabilization package and, as part of that decision, imposed a series of structural measures that the company is required to complete.

Uniper said the transaction also supports the continuing alignment of its portfolio with the company’s strategic core business activities.

OPAL is one of Europe’s major gas transmission corridors, extending approximately 470 kilometres from Lubmin in Germany to Brandov in the Czech Republic.

The pipeline is also becoming part of Germany’s developing hydrogen infrastructure. The northern section of OPAL was converted in mid-December 2025 as part of Germany’s hydrogen core network, while conversion of the southern section is expected to follow by the end of 2030.

Hy24’s acquisition therefore gives the hydrogen-focused investor an interest in infrastructure that is progressively being integrated into Germany’s future hydrogen transmission system.

The transaction remains subject to the necessary regulatory approvals and is also conditional on the non-exercise of a pre-emption right by the fractional co-owner.

Once these conditions are satisfied, the sale will contribute to Uniper’s fulfilment of the remedies associated with its 2022 state aid approval while transferring its OPAL participation to an investor focused on the development of hydrogen infrastructure and the wider hydrogen economy.
