UniCredit Successfully Completes Share Buy-Back Transactions as Part of 2022 Programme

(IN BRIEF) UniCredit S.p.A. has successfully concluded a series of share buy-back transactions in accordance with the Second Tranche of the Buy-Back Programme 2022. The program, initiated on June 30, 2023, was carried out under the authorization of the Shareholders’ Meeting held on March 31, 2023. Facilitated by BNP Paribas Exane, acting as an independent intermediary, the transactions were executed using a “riskless principal” or “matched principal” approach. The purchases of UniCredit ordinary shares (ISIN IT0005239360) took place between August 21 and August 25, 2023, totaling 4,531,000 shares at an average price of approximately 21.8935 Euros. As of August 25, 2023, including purchases from the First Tranche of the Buy-Back Programme 2022, UniCredit has acquired a total of 147,112,028 shares, equivalent to 7.58% of the share capital.

(PRESS RELEASE) MILAN, 29-Aug-2023 — /EuropaWire/ — Within the UniCredit S.p.A. (the “Company” or “UniCredit”) share buy-back programme communicated to the market on 20 June 2023 and initiated on 30 June 2023, as per the authorisation granted by the Shareholders’ Meeting of the Company held on 31 March 2023 (the “Second Tranche of the Buy-Back Programme 2022”) – on the basis of the information received from BNP Paribas Exane as intermediary in charge of executing, in full independence (so-called “riskless principal” or “matched principal”), the Second Tranche of the Buy-Back Programme 2022 – UniCredit informs, pursuant to art. 2, paragraph 3, of the Delegated Regulation (EU) 2016/1052, that it has carried out the transactions indicated below.

The chart below provides aggregate details of the daily purchases of UniCredit ordinary shares (ISIN IT0005239360), made from 21 August 2023 to 25 August 2023.

The details of all the purchase transactions carried out in the period indicated above are available in Excel format at www.unicreditgroup.eu (“Press & Media” / “Press releases”).

As of 25 August 2023, since the launch of the Second Tranche of the Buy-Back Programme 2022, UniCredit purchased no. 22,075,855 shares, equal to 1.14% of the share capital, for a total consideration of 489,860,290.93 Euro. As of the same date, considering also the purchases made under the First Tranche of the Buy-Back Programme 2022 completed on 29 June 2023,

UniCredit purchased, as per the authorization granted by the Company’s Shareholders’ Meeting held on 31 March 2023, a total of 147,112,028 shares equal to 7.58% of the share capital.
