(IN BRIEF) UniCredit Bank S.A. has completed its second synthetic securitisation transaction, involving approximately RON 3.5 billion of SME and corporate loans originated in Romania. The deal is the first within UniCredit Group to use a local currency other than the euro for both the underlying portfolio and the credit protection instrument. (PRESS RELEASE) MILAN, 3-Sep-2026 — /EuropaWire/ — UniCredit Bank S.A., part of UniCredit Group, has completed its second synthetic securitisation transaction, further strengthening the Group’s use of significant risk transfer structures to improve capital efficiency and support lending capacity.

For the first time within UniCredit Group, the transaction involves a portfolio of small and medium-sized enterprise and corporate exposures denominated in a local currency other than the euro.

The underlying securitised portfolio totals approximately RON 3.5 billion and consists of a granular pool of SME and corporate loans originated by UniCredit Bank S.A. The associated credit protection instrument is also denominated in Romanian lei.

The transaction was completed with the support of The Fidelis Partnership.

Transaction designed to achieve significant risk transfer

The deal has been structured to meet the requirements for Significant Risk Transfer (SRT) under the European Union’s Capital Requirements Regulation.

By transferring part of the credit risk associated with the underlying loan portfolio, UniCredit Bank S.A. expects to achieve relief in risk-weighted assets and strengthen its capital resilience.

The bank said this will support additional lending capacity for the real economy.

The transaction forms part of UniCredit’s broader SRT programme, through which the Group is seeking to improve capital efficiency across multiple markets, asset classes and legal entities.

First UniCredit SRT transaction in a non-euro local currency

Stefano Chiarlone, Head of Balance Sheet Management at UniCredit, said the transaction represents another important step in the Group’s capital-efficiency strategy.

He said the deal delivers optimisation at both bank and Group level and stands out because of its innovative local-currency structure.

Chiarlone added that the transaction further strengthens UniCredit’s SRT framework in Eastern Europe and demonstrates the broad geographical reach of the Group’s activity in this area.

Georgia Salagean, CFO at UniCredit Bank, said the transaction is the first within UniCredit Group to involve a synthetic securitisation portfolio denominated in a local currency other than the euro.

She said the deal reflects the Group’s commitment to supporting the real economy through its subsidiaries, including by enabling lending in local currencies such as the Romanian leu.

Salagean also highlighted the work of UniCredit Bank’s local Finance, Risk Management, IT and Operations teams, together with support from Group functions.

Fidelis builds on five-year SRT relationship with UniCredit

Mel Puskar, Head of Underwriting – Group Credit at The Fidelis Partnership, said the transaction builds on a longstanding relationship with UniCredit spanning more than five years of SRT activity.

He said the deal is particularly significant because it represents the first UniCredit Group synthetic securitisation involving loans denominated in a currency other than the euro.

Puskar added that Fidelis applied its experience in corporate-loan SRT transactions to help UniCredit complete the deal.

UniCredit expands use of SRT across Central and Eastern Europe

The transaction supports UniCredit’s strategy of increasingly using SRT as a tool to enhance capital efficiency.

The Group plans to extend the approach to new asset classes and additional legal entities across Central and Eastern Europe.

UniCredit has regularly issued SRT transactions across Italy, Germany, Austria and Eastern Europe, covering multiple asset classes and structures.

UniCredit Bank GmbH acted as sole arranger for UniCredit Bank S.A. on the transaction.
