BioNTech to Acquire CureVac in $1.25 Billion All-Stock Deal, Boosting mRNA Oncology Portfolio

Major shareholders holding over 50% of CureVac shares have committed to tender, and the combined entity is poised to leverage its robust cash position and global footprint to expand mRNA-based medicines.

(PRESS RELEASE) MAINZ/TÜBINGEN, 13-Jun-2025 — /EuropaWire/ — BioNTech SE (Nasdaq: BNTX) and CureVac N.V. (Nasdaq: CVAC) today announced a definitive agreement under which BioNTech will acquire all outstanding shares of CureVac in an all-stock transaction valued at approximately $1.25 billion. Each CureVac share will be exchanged for roughly $5.46 in BioNTech American Depositary Shares (ADSs), representing a 55% premium to CureVac’s three-month VWAP of $3.53 as of June 11, 2025. Subject to a collar mechanism tied to BioNTech’s ADS price, CureVac shareholders will own between 4% and 6% of the combined company post-close, which is expected in 2025 pending customary regulatory approvals and at least 80% tender participation (adjustable to 75%).

This acquisition accelerates BioNTech’s oncology strategy by integrating CureVac’s mRNA design, delivery formulation, and manufacturing technologies into its global platform. The combined organization will bolster research, development, production, and commercialization of next-generation mRNA cancer immunotherapies—complementing BioNTech’s pan-tumor pipelines and its bispecific antibody candidate, BNT327.

Major CureVac shareholders—including dievini Hopp BioTech (36.76% ownership) and the German government’s KfW (13.32%)—have agreed to tender their shares and support the merger resolutions. The transaction, unanimously approved by both companies’ boards, will culminate in a post-offer corporate reorganization to consolidate 100% ownership.
