The JV will hold RWE’s 25.1% stake in Amprion, with RWE retaining operational control, while Apollo joins as a strategic investor. M31 Beteiligungsgesellschaft continues to hold the remaining 74.9%. Subject to regulatory approval, the transaction is set to close in late 2025. (PRESS RELEASE) DORTMUND, 8-Sep-2025 — /EuropaWire/ — Amprion GmbH has welcomed the announcement that RWE and Apollo Global Management will form a joint venture for RWE’s 25.1% stake in the company, supporting the significant investment required for Germany’s transmission grid. The transaction is seen as a clear vote of confidence in Amprion’s strategy to expand and modernize critical infrastructure.
Under the terms of the agreement, Apollo will contribute €3.2 billion to RWE in return for a stake in a newly established joint venture that will hold RWE’s share in Amprion. RWE will retain operational control of the JV and continue managing the investment. The majority 74.9% of Amprion remains with M31 Beteiligungsgesellschaft. Closing of the transaction is expected in the fourth quarter of 2025, subject to regulatory approvals.
Amprion is undertaking one of the most ambitious investment programs in Europe, with plans to invest around €36.4 billion in grid expansion by 2029. The strengthened partnership provides the necessary equity to support these efforts, ensuring secure, efficient, and reliable transmission infrastructure to advance Germany’s energy transition.
